1. Definitions

This agreement is made between OGL Advertising LTD (hereinafter referred to as “Bidvert”) and all affiliate users utilizing the Bidvert platform (hereinafter referred to as “Affiliate”). Bidvert is a platform that connects advertisers with Affiliate users, allowing Affiliates to earn commission based on cost-per-action (CPA), cost-per-sale (CPS), cost-per-registration (CPL), or revenue sharing. This agreement outlines the rights and obligations related to the use of the platform.

2. Purpose of the Agreement

The purpose of this agreement is to establish the terms and conditions for the use of the Bidvert platform. The agreement provides a clear understanding of the rights and responsibilities of both Bidvert and the Affiliate, ensuring that users accept the terms upon registering to utilize the platform.

3. Rights and Obligations of the Parties

3.1. Rights of Bidvert

• Bidvert retains ownership of all creative materials on the platform, including logos and names, protected under intellectual property rights. Affiliate users may not copy or distribute these materials without authorization.
• Bidvert reserves the right to verify the accuracy and validity of information provided by Affiliates. This includes taking necessary measures to confirm the data submitted by users.
• Bidvert has the authority to monitor, analyze, and assess user performance on the platform. This data will be used to enhance user success and improve service quality.

3.2. Obligations of Affiliates

• Affiliate users are required to use all materials provided by Bidvert solely in permitted ways.
• Affiliates commit to acting with honesty, fairness, and ethical standards in promoting the services offered on the platform.
• Users must provide accurate and complete information when supplying traffic sources. Providing misleading or false information will be considered a breach of the agreement.
• Affiliates must comply with local laws and regulations while conducting any promotional activities on the platform.

4. Termination of Services

4.1. Right to Terminate Bidvert reserves the right to terminate affiliate or advertiser services at any time and without notice. In such cases, the commissions earned by Affiliates may be affected. Bidvert does not guarantee continuous service and may terminate services in the future without notice.

4.2. Termination by the User Affiliate users have the right to leave the platform. However, users must request all payments before closing their accounts. After account closure, any earned commissions that have not been paid will no longer be claimable.

4.3. Suspension of Account Bidvert retains the right to suspend user accounts under the following circumstances:

• Breach of agreement terms by the user.
• Detection of fraud or deceit in traffic sources.
• Any illegal actions taken by the user against local laws or platform rules.

5. Affiliate Payments

5.1. Payment Process Affiliate users acknowledge that their payments will be held for 30 days from the end of the month in which the payment was requested, during which time their honesty and traffic quality will be evaluated. Payments will be processed and delivered to affiliate users 30 days after the hold period. Bidvert will not make payments unless the relevant advertisers have validated the traffic source of the affiliate user. Additionally, payments must be communicated to us by the relevant advertisers on behalf of the affiliate user.

5.2. Payment Commitment It is accepted that all payments must be allocated by the advertisers to the Affiliate users. If the traffic appears to be inappropriate, or if we cannot collect payments on behalf of the Affiliate user for any reason, Bidvert will not owe any amount to the affiliate user, and the affiliate user agrees to this condition.

5.3. Commission Rate Bidvert is not obligated to disclose any details regarding the offers, commission rates, or other relevant information to affiliate users. Commission rates may vary depending on the offers provided by advertisers and are determined solely by Bidvert.

6. Payment Methods

6.1. Cryptocurrency Payments Bidvert may make affiliate payments in cryptocurrencies. Payments in cryptocurrency will be made after the verification of the affiliate user’s traffic and payments. The minimum payout amount for cryptocurrency payments is $100, and Bidvert will not consider any payment requests below this threshold.

6.2. Bank Transfers Bank payments will be made after the verification of the affiliate user’s traffic and payments. The minimum payout amount for bank payments is $1000, and Bidvert will not consider any payment requests below this threshold.

6.3. Payment Requests Affiliate users must submit requests for payments after exceeding the minimum payout amounts through the Bidvert platform. These requests will be processed after passing the necessary verification and control processes.

7. Anti-Fraud Policy

7.1. Monitoring and Oversight Bidvert continuously monitors traffic to prevent fraud. If fraudulent activity is detected in your traffic source (e.g., bot traffic, messaging traffic, misleading promotional traffic, spam traffic, etc.), your services may be suspended without justification or appeal until the traffic is reviewed.

7.2. Data Request Bidvert may request detailed analyses, reports, and statistics from affiliate users; in such cases, the affiliate user is obliged to provide the necessary data. Failure to provide the required information may result in the permanent suspension of the affiliate user’s account.

7.3. Sanctions for Violations In the event of any detection of fraud or deceit, Bidvert retains the right to suspend or permanently close the affiliate user’s account. In such cases, payments to users may also be suspended.

8. Validity of the Agreement

This agreement shall be effective upon the commencement of using the Bidvert platform. Bidvert may terminate the agreement at any time and users may cease to be users as well. Bidvert may terminate its agreement with any user at any time, with or without reason.

9. Disclaimer of Liability

9.1. User Responsibilities Bidvert retains the right to suspend payments indefinitely for users who:

• Have their accounts suspended.
• Fail to reach the minimum payout threshold.
• Have unverifiable traffic or traffic sources.
• Are found to be under 18 years of age.
• Are detected to be engaging in fraudulent activities.
• Are detected to be committing acts of fraud.

9.2. Limited Liability Bidvert does not guarantee that the services provided on the platform will be uninterrupted or error-free. Users acknowledge that the earnings obtained from the platform may not reach the expected level or continue indefinitely. Bidvert indicates that services may be modified or terminated at any time.

10. Privacy and Data Protection

10.1. Privacy Policy Affiliate users acknowledge that necessary measures will be taken to protect their personal information. Bidvert will not share users’ personal information with third parties and may only use this information in compliance with legal requirements or with the user’s consent.

10.2. Data Usage User data will be used solely for the purpose of providing and improving platform services. Bidvert aims to enhance service quality by analyzing user data. User data will only be used for the creation of anonymized and statistical reports.

11. Applicable Law

This agreement is governed by the laws of the jurisdiction in which OGL Advertising LTD is based. The parties agree to accept this jurisdiction in resolving any disputes arising from the agreement. In the event of any dispute, the parties agree to attempt to resolve the conflict amicably.

12. Amendments

Bidvert may update this agreement from time to time. Users are responsible for keeping track of any changes to the agreement. Changes will be deemed accepted by users through their continued use of the platform. Users will be notified of any changes via email or through the platform.

13. Final Provisions

This agreement encompasses all agreements made between the parties. No part of this agreement may be amended or canceled without the written consent of the parties. If any part of the agreement is found to be invalid, the validity of the remaining provisions shall not be affected. This agreement has been prepared to regulate the business relationship between the parties and aims to protect the mutual interests of both parties.

Users are deemed to have accepted these terms upon the commencement of their use of the platform. Users commit to complying with the provisions of this agreement while maintaining their relationship with Bidvert. This commitment is valid for all commercial relationships with Bidvert and serves as a guarantee of mutual trust between the parties.
